1. Agreement to Terms

By accessing or using AgentAssistHub (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Description of Service

AgentAssistHub is a cloud-based customer relationship management platform designed for independent insurance agents and agencies. The Service includes customer and policy management, task workflows, certificate of insurance generation, AI-powered insights, and related features as described on our website.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. User Obligations

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Ensure that data you enter into the Service is accurate and that you have the right to use and store it.
• Not attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
• Not use the Service to transmit malware, spam, or any harmful content.
• Not reverse engineer, decompile, or disassemble any part of the Service.
• Comply with all applicable laws and regulations, including insurance industry regulations and data protection laws.

5. Subscription and Payment

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. Key terms:

• Subscriptions are billed monthly. Prices are in US dollars unless otherwise stated.
• A 14-day free trial is included with new accounts. No credit card is required for the trial.
• Payments are processed through Stripe. You agree to Stripe's terms of service for payment processing.
• We may change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.
• Overdue payments may result in suspension of access to the Service. We will notify you before suspending your account.

6. Your Data

You retain all ownership rights to the data you enter into the Service (“Your Data”). You grant us a limited license to use Your Data solely to provide and improve the Service. We will not sell Your Data to third parties.

You are responsible for maintaining backups of Your Data. While we take reasonable precautions to prevent data loss, we are not liable for any loss of Your Data.

7. AI Features

The Service includes AI-powered features such as daily briefings, renewal preparation, and cross-sell detection. These features are provided as informational aids and should not be relied upon as the sole basis for business decisions. AI outputs may contain errors and you are responsible for verifying their accuracy.

AI usage is subject to the action limits included in your subscription plan. Overage charges apply as described on our pricing page.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by AgentAssistHub and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the subscription term.

You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, AgentAssistHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk. We will provide notice where practicable.

Upon termination, your right to use the Service ceases. Your data will be retained for 30 days to allow for export or reactivation, after which it will be permanently deleted.

12. Indemnification

You agree to indemnify and hold harmless AgentAssistHub, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
